Terms & Conditions of Sale

1.1. The Seller supplies products solely to businesses, research institutions, universities, contract research organisations, and other professional entities for use in laboratory research.

1.2. The Seller does not sell to consumers. By placing an order, the Buyer confirms that they are purchasing in the course of a business, trade, or profession and not as a consumer within the meaning of the Consumer Rights Act 2015. The statutory rights and protections afforded to consumers, including cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, do not apply to purchases made under these Terms.

1.3. The Seller reserves the right to request evidence of business or institutional status (including company registration details, institutional affiliation, or laboratory address) before accepting or dispatching any order, and to refuse or cancel any order where such evidence is not provided or is unsatisfactory.

2.1. All products supplied by the Seller are intended and supplied strictly for in vitro laboratory research use only.

2.2. The products are not medicines, medicinal products, investigational medicinal products for human use, veterinary medicinal products, food, food supplements, novel foods, cosmetics, or consumer products, and are not sold or presented as such.

2.3. The products must not be administered to, applied to, or consumed by humans or animals under any circumstances, and must not be used for any diagnostic, therapeutic, prophylactic, or cosmetic purpose.

2.4. The Buyer warrants that the products will be used only by suitably qualified and trained personnel, in an appropriate laboratory environment, in accordance with all applicable laws, regulations, and good laboratory practice.

2.5. The Buyer shall not resell, redistribute, or otherwise supply the products to any third party unless the Buyer has taken reasonable steps to ensure that such third party is a business or institution that will use the products solely for lawful research purposes and subject to restrictions no less protective than these Terms.

2.6. Any breach of this Section 2 is a material breach of these Terms. The Seller reserves the right to refuse future orders from, and to terminate any account of, a Buyer it reasonably suspects of purchasing products for human or veterinary use.

3.1. All orders placed by the Buyer constitute an offer to purchase subject to these Terms. No order is accepted, and no contract is formed, until the Seller dispatches the products or expressly confirms acceptance in writing, whichever is the earlier.

3.2. The Seller may decline any order at its sole discretion, including without limitation where the Seller is not satisfied as to the Buyer's eligibility under Sections 1 and 2, where products are unavailable, or where an error in pricing or product information has occurred.

3.3. The Seller may impose quantity limits on any product or Buyer.

4.1. Prices are stated in pounds sterling (GBP). The Seller is not currently registered for VAT, so no VAT is charged on orders. Delivery charges, where applicable, are shown before the order is submitted.

4.2. Payment is due in full at the time of ordering. Payment may be made by the methods offered at checkout, which may include bank-to-bank (open banking) payment processed by our payment provider, Fena (fena.co). The Seller does not receive or store the Buyer's full bank credentials.

4.3. If a pricing or typographical error is discovered after an order is placed but before dispatch, the Seller may cancel the order and refund any sums paid.

4.4. The Seller reserves the right to change prices at any time. Changes do not affect orders already accepted.

5.1. Estimated dispatch and delivery times are given in good faith but are estimates only. Time of delivery is not of the essence.

5.2. Risk in the products passes to the Buyer upon delivery to the address specified in the order. Title passes upon receipt by the Seller of payment in full.

5.3. The Buyer is responsible for ensuring that a suitable person is available to receive the products and that the products are stored appropriately (including any stated temperature requirements) immediately upon receipt. The Seller is not responsible for degradation of products caused by the Buyer's failure to store them correctly after delivery.

5.4. For deliveries outside the United Kingdom, the Buyer is the importer of record and is solely responsible for compliance with all import laws, licences, permits, duties, and taxes of the destination country. The Seller makes no representation that the products may be lawfully imported into or possessed in any jurisdiction outside the UK.

6.1. The Buyer shall inspect the products promptly upon receipt and notify the Seller in writing of any shortage, damage in transit, or defect within 7 days of delivery. Failure to notify within this period shall be deemed acceptance of the products.

6.2. Where products are shown to the Seller's reasonable satisfaction to be defective, not as described, or short-delivered, the Seller will, at its option, replace the affected products or refund the price paid for them. This is the Buyer's sole and exclusive remedy for defective products, to the fullest extent permitted by law.

6.3. Owing to the nature of the products (temperature-sensitive research reagents that cannot be verified as unadulterated once dispatched), products are otherwise non-returnable. The Seller does not accept returns for unwanted or incorrectly ordered products.

7.1. The manufacturer's certificate of analysis ("CoA") is available on request for each batch. A CoA relates solely to the identified lot number and to the analytical methods stated in it.

7.2. Analytical data described in a CoA relate to the tested sample of the identified lot at the time of testing, are provided by the manufacturer, and do not constitute a warranty of fitness for any particular purpose.

8.1. The Buyer is solely responsible for the safe receipt, handling, storage, use, and disposal of the products, including carrying out its own risk assessments, providing appropriate personal protective equipment, and training its personnel.

8.2. The Buyer acknowledges that the products may be hazardous and that their properties may not be fully characterised. The Buyer shall treat the products as potentially hazardous laboratory materials.

9.1. The Buyer is solely responsible for compliance with all laws, regulations, licences, and permits applicable to its purchase, possession, storage, use, and disposal of the products in its jurisdiction.

9.2. Nothing on the Site or in any communication from the Seller constitutes medical, veterinary, regulatory, or legal advice, or an encouragement or instruction to use any product other than for lawful in vitro research.

10.1. Nothing in these Terms excludes or limits liability for death or personal injury caused by the Seller's negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.

10.2. Subject to clause 10.1, the Seller shall not be liable for any use of the products contrary to Section 2 (Research Use Only), and the Buyer shall indemnify the Seller against all claims, losses, damages, costs, and expenses arising out of or in connection with any use of the products by the Buyer or any third party contrary to Section 2 or otherwise in breach of these Terms.

10.3. Subject to clause 10.1, the Seller shall not be liable for any loss of profits, loss of business, loss of data, loss of anticipated savings, or any indirect or consequential loss.

10.4. Subject to clause 10.1, the Seller's total aggregate liability arising out of or in connection with any order shall not exceed the price paid by the Buyer for the products giving rise to the claim.

All content on the Site, including text, product descriptions, images, and branding, is owned by or licensed to the Seller and may not be reproduced without the Seller's prior written consent.

The Seller shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to supplier failure, carrier delay, industrial action, epidemic, or governmental action.

13.1. Entire agreement. These Terms, together with the order confirmation, constitute the entire agreement between the parties in relation to the sale of the products and supersede all prior discussions and representations.

13.2. Severance. If any provision of these Terms is held invalid or unenforceable, the remainder shall continue in full force.

13.3. Waiver. No failure or delay by the Seller in exercising any right shall constitute a waiver of that right.

13.4. Assignment. The Buyer may not assign or transfer its rights or obligations under these Terms without the Seller's prior written consent.

13.5. Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the law of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
